Terms of Service

1. Definitions

• "Service" means the website https://quick-review.app, its content, features, and any services provided by truck8.ai.
• "User", "You", and "Your" refer to the individual, company, or organization that visits, accesses, or uses the Service.
• "Account" means an account created by a User to access certain features of the Service.
• "Content" means all text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided, or otherwise made available through the Service.
• "User Content" means any Content that Users (including you) provide to be made available through the Service, such as surveys created, questions asked, and responses collected.

2. Eligibility and Account Registration

To use certain features of our Service, you may be required to create an Account. You must be at least 16 years old (or the age of legal majority in your jurisdiction) to create an Account. If you are creating an Account on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your Account password and for any activities or actions under your Account, whether or not you have authorized such activities or actions. You agree to notify us immediately of any unauthorized use of your Account.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To impersonate or attempt to impersonate truck8.ai, a truck8.ai employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm truck8.ai or users of the Service or expose them to liability.
• To create surveys that are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or that violate any party’s intellectual property or these Terms.

We reserve the right to terminate or suspend your Account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties, or for any other reason.

4. Intellectual Property Rights

The Service and its original Content (excluding User Content), features, and functionality are and will remain the exclusive property of truck8.ai and its licensors. The Service is protected by copyright, trademark, and other laws of The Netherlands and other relevant jurisdictions.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of truck8.ai.

5. User Content

You retain all ownership rights to your User Content. However, by creating, uploading, posting, sending, receiving, storing, or otherwise making available any User Content on or through the Service, you grant to truck8.ai a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with operating and providing the Service to you and to other Users. This license is solely for the purpose of operating, developing, providing, promoting, and improving the Service and researching and developing new ones.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that: (i) you are the creator and owner of the User Content, or have the necessary licenses, rights, consents, and permissions to authorize truck8.ai and users of the Service to use and distribute your User Content as necessary to exercise the licenses granted by you in this section; and (ii) your User Content, and the use of your User Content as contemplated by these Terms, does not and will not: (a) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (c) cause truck8.ai to violate any law or regulation.

We are not responsible for User Content, nor do we endorse any opinion contained in User Content. We reserve the right, but are not obligated, to remove or modify User Content for any reason, including User Content that we believe violates these Terms or our policies.

6. Fees, Payments, and Subscriptions

Certain features of the Service may be offered on a subscription basis or for a fee. If you choose to purchase a subscription or a paid feature (the "Paid Services"), you agree to pay the fees specified at the time of purchase.

Payment Processing: All payments for Paid Services are processed by our third-party payment processor (e.g., Stripe). You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we or our payment processor can complete your transactions and contact you as needed.

Subscriptions and Renewals: If you purchase a subscription, it will automatically renew at the end of each subscription period for a further period of the same length, at the then-current, non-promotional subscription rate, unless you cancel your subscription before the end of the current subscription period. You can manage and cancel your subscriptions through your Account settings or by contacting us at info@truck8ai.com.

Price Changes: We reserve the right to change the prices for our Paid Services at any time. We will provide you with reasonable prior notice of any price changes. If you do not agree to the price change, you must cancel your subscription before the change takes effect.

Refunds: All fees are non-refundable except as required by law or as otherwise stated by us in writing.

7. Termination

We may terminate or suspend your Account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms.

If you wish to terminate your Account, you may do so by discontinuing use of the Service or through your Account settings, if available, or by contacting us.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. truck8.ai MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THEIR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.

NEITHER truck8.ai NOR ANY PERSON ASSOCIATED WITH truck8.ai MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER truck8.ai NOR ANYONE ASSOCIATED WITH truck8.ai REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

truck8.ai HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL truck8.ai, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO truck8.ai FOR THE SERVICE IN THE SIX (6) MONTHS PRIOR TO THE ACT, OMISSION OR OCCURRENCE GIVING RISE TO SUCH LIABILITY, OR (B) ONE HUNDRED EUROS (EUR 100.00) (OR EQUIVALENT IN LOCAL CURRENCY).

10. Indemnification

You agree to defend, indemnify, and hold harmless truck8.ai, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Service.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of, or related to, them, their subject matter or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of The Netherlands without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the competent courts of The Netherlands. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

12. Changes to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the Website and the Service.

13. Miscellaneous

Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and truck8.ai regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

Waiver and Severability: No waiver by truck8.ai of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of truck8.ai to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
